FCPA books and records and internal accounting controls

In force

Section 13(b)(2) of the Exchange Act requires accurate books and a system of internal accounting controls for issuers. Records of payments should be traceable to a source and an approver. Deletion to hide a payment is itself a problem the control is meant to prevent.

Applies to. Issuers, with group and controlled-entity questions for counsel. Not every private US supplier is an SEC issuer.

Verification. Wilful violation penalties are cited separately and need counsel on alternative fines.
